Pizza Factory reserves the right to investigate and take appropriate legal and/or administrative action against any user who, in our sole discretion, violates these Terms or applicable law, including without limitation, suspending or terminating the user's account, refusing service, and/or reporting the user to law enforcement authorities.

4. Account Registration

Certain features of our Site may require you to register for an account. When registering, you must provide truthful and accurate information. You are responsible for maintaining the confidentiality of your username and password and for all activities that occur under your account. If you submit, upload, post, or otherwise make available any content to our Site (such as reviews, comments, photos, or suggestions), you grant Pizza Factory a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media. You represent and warrant that you own or have the necessary rights to grant this license and that your content does not infringe any third-party intellectual property or other rights.

6. Payment Terms

Pizza Factory accepts various payment methods including major credit cards, debit cards, and other payment methods as displayed at checkout. All prices listed on our Site are in United States Dollars (USD) and are subject to applicable sales tax.

6.1 Pricing and Taxes

All prices displayed on our Site are subject to change without notice. Applicable sales tax will be calculated and added to your order total at checkout based on your delivery or pickup location, in compliance with applicable state and local tax laws. Pizza Factory is not responsible for any pricing errors that may appear on the Site. In the event of a pricing error, we reserve the right to cancel or refuse orders placed at the incorrect price.

6.2 Order Confirmation

An order is not confirmed until you receive an official order confirmation email or notification from Pizza Factory. Receipt of payment alone does not constitute confirmation of an order. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in product or pricing information, or suspicion of fraud.

6.3 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been prepared. We will assess each situation on a case-by-case basis and, at our sole discretion, may offer a replacement, store credit, or refund. Refunds, if approved, will be processed to the original payment method within 5–10 business days.

However, Pizza Factory cannot guarantee the absolute security of any information transmitted over the internet. You provide your payment information at your own risk, subject to the protections described in our Privacy Policy.

7. Food Allergen and Safety Disclaimer

Pizza Factory prepares food in a kitchen environment where common allergens including but not limited to wheat, gluten, dairy, eggs, nuts, soy, fish, and shellfish are present. Cross-contamination is possible. While we make reasonable efforts to accommodate dietary restrictions and allergen concerns, we cannot guarantee that any menu item is entirely free from allergens. Customers with severe food allergies are strongly encouraged to contact us before placing an order and to consult with a medical professional regarding their dietary needs. 8. Limitation of Liability

To the fullest extent permitted by applicable law, Pizza Factory, its officers, directors, employees, agents, partners, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

  • Loss of profits, revenue, data, business, or goodwill;
  • Personal injury or property damage arising from your use of our Services or food products;
  • Unauthorized access to or alteration of your account or personal data;
  • Any errors, omissions, or inaccuracies in our menu, pricing, or product descriptions;
  • Any delay, failure, or interruption in the delivery or availability of our Services;
  • Any actions or omissions of third-party delivery partners or service providers.

In no event shall the total aggregate liability of Pizza Factory to you for all claims arising out of or related to these Terms or the Services exceed the greater of (a) the total amount paid by you to Pizza Factory in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) One Hundred United States Dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms shall limit or exclude our liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be lawfully excluded.

9. Disclaimers — "As-Is" Basis

Your use of the Site and Services is solely at your own risk. This disclaimer does not affect any warranties that cannot be excluded or limited under applicable law, including any rights you may have under consumer protection statutes in your state of residence.

10. Indemnification

You agree to defend, indemnify, and hold harmless Pizza Factory, its parent companies, subsidiaries, affiliates, officers, directors, shareholders, employees, contractors, agents, licensors, service providers, and successors (collectively, "Indemnified Parties") from and against any and all claims, demands, damages, losses, liabilities, obligations, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

11. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Pizza Factory's principal place of business is located, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of our Services shall be instituted exclusively in the federal or state courts of competent jurisdiction within the United States. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such action in such courts.

These Terms are also subject to applicable federal consumer protection law, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), which prohibits unfair or deceptive practices in commerce. Nothing in these Terms shall be construed to limit any rights you may have under applicable consumer protection laws.

12. Dispute Resolution

12.1 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services ("Dispute"), you agree to first attempt to resolve the Dispute informally by contacting Pizza Factory at [email protected]. We will attempt to resolve the Dispute within thirty (30) days of receiving your notice. If the Dispute cannot be resolved informally within that period, either party may proceed to binding arbitration as described below.

12.2 Binding Arbitration

Except as provided in Section 12.3 below, you and Pizza Factory agree that any Dispute that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in English and shall take place in the United States. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

The parties agree that the arbitrator shall have authority to award any remedy available at law or in equity, subject to the limitations set forth in these Terms. Each party shall bear its own costs and attorneys' fees in arbitration, except as otherwise required by law or the AAA rules.

12.3 Exceptions to Arbitration

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights. Small claims court actions that qualify under applicable court rules are also exempt from mandatory arbitration.

12.4 Class Action Waiver

YOU AND PIZZA FACTORY AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. If any court or arbitrator determines that the class action waiver set forth in this section is void or unenforceable, the parties agree that the arbitration agreement shall not apply and the Dispute shall be resolved in court.

12.5 Time Limitation on Claims

Any claim or cause of action arising out of or related to these Terms or our Services must be filed within one (1) year after such claim or cause of action arose, regardless of any statute or law to the contrary. If not filed within this period, the claim shall be permanently barred. This limitation does not apply where prohibited by applicable law.

13. Term and Termination

These Terms shall remain in full force and effect for as long as you use our Site or Services, maintain an account with us, or as otherwise indicated herein. Pizza Factory reserves the right, in its sole and absolute discretion, to:

  • Suspend or terminate your access to the Site or Services at any time, with or without cause and with or without notice;

Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Intellectual Property Rights, Payment Terms, Limitation of Liability, Disclaimers, Indemnification, Governing Law, Dispute Resolution, and Severability.

15. Severability
